（一）首发上市后退出的锁定期

根据私募股权基金在首发上市前进入的时间和所取得法律地位的不同，其锁定期也不同。

1.作为发起股东

如果私募股权基金作为发行人的发起股东的，这种情况往往发生在私募股权基金投资时发行人尚未进行股改，因此在股改后自然成为发起人。根据《公司法》第一百四十二条的规定，“发起人持有的本公司股份，自公司成立之日起一年内不得转让。公司公开发行股份前已经发行的股份，自公司股票在证券交易所上市交易之日起一年内不得转让。”因此，私募股权基金作为发起股东在首发上市后至少一年内不得转让。

2.作为控股股东和实际控制人
